Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Democruit website (the "Website"), along with all associated products, services, and software provided by Democruit (collectively referred to as the "Services"). In this agreement, "Democruit," "we," "us," and "our" refer to Democruit, Inc., a Türkiye corporation. References to "you," "your," "user," or "Company" encompass all individuals and entities who access or use the Services, whether on behalf of an organization or in a personal capacity—including employees, representatives, and other authorized users of a company. In such cases, the company or organization is referred to as the "Company", and all individuals using the Services on its behalf are collectively bound by these Terms.
If you are accessing the Services on behalf of a company or other legal entity, you affirm that you have the authority to accept these Terms on its behalf, or that an authorized representative has agreed to these Terms on behalf of that entity. These Terms also incorporate our Privacy Policy by reference, and together, both documents are designed to comply with applicable requirements of the EU General Data Protection Regulation (GDPR).
Please review these Terms carefully, as they include important details about your legal rights, responsibilities, limitations of liability, and dispute resolution procedures, including mandatory arbitration. If you do not fully agree to these Terms, you may not use or access our Services.
1. User Accounts and Eligibility
You must be at least 18 years old to use the Services. To access certain features, you may be required to create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and all activities under your account. Democruit is not liable for losses due to unauthorized access unless caused by our negligence.
2. Service
Democruit agrees to make every reasonable effort, consistent with the standards expected of a professional in the industry, to deliver the Service with appropriate quality and speed.
3. Free Trial Credits
Democruit may offer promotional Credits at no cost, for limited-time trials or feature testing. These Credits have no monetary value and may expire without notice.
4. Beta Period
During any beta period, the Services are provided on an "AS IS" basis, and Democruit makes no warranties of any kind, whether express or implied. This includes, without limitation, any warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Services will be uninterrupted, error-free, or secure. Beta features may be incomplete, contain bugs, or be subject to change without notice. By participating in a beta program, you acknowledge that the Services are experimental in nature and agree to use them at your own risk. Democruit shall have no liability for any harm or damages arising out of or related to your use of the Services during the beta period.
5. Confidentiality and Ownership
5.1 Confidential Information
Each party (a "Receiving Party") understands that the other party (a "Disclosing Party") may share confidential business, technical, or financial information in connection with this Agreement ("Confidential Information"). For Democruit, this includes internal, non-public data regarding the features, design, and performance of the Services. For the User, Confidential Information includes data submitted to Democruit that is necessary for the delivery of the Services ("User Data"). The Receiving Party agrees to:
- take commercially reasonable steps to safeguard the Confidential Information from unauthorized access or disclosure
- only use such information for purposes consistent with the provision or receipt of the Services under this Agreement.
This obligation does not extend to any information that:
- has become public through no breach by the Receiving Party,
- was lawfully in the Receiving Party’s possession before disclosure by the Disclosing Party,
- is rightfully obtained from another source without duty of confidentiality,
- is independently developed by the Receiving Party without use of the Disclosing Party’s Confidential Information, or
- must be disclosed under applicable law, regulation, or court order.
These confidentiality commitments remain effective for five years from the date of disclosure.
5.2 Data and Intellectual Property
You retain full ownership of any resumes, cover letters, job descriptions, personal information, or other content you submit through the Services (“User Data”). Democruit does not claim ownership of your User Data. You grant Democruit a limited, non-exclusive, royalty-free license to use, host, reproduce, and process User Data solely as necessary to deliver, maintain, improve, and support the Services.
Democruit retains all rights, title, and interest in and to the Services, including but not limited to its software, platform, designs, features, AI models, improvements, and related technology or content, regardless of whether such items were developed independently by Democruit or in response to feedback, requests, or suggestions from you.
This section does not grant either party any rights, title, or interest in the intellectual property of the other, except as explicitly stated in these Terms.
5.3 Usage Data and Analytics
Democruit reserves the ability to gather and evaluate data generated through use of the Services and its related infrastructure, including information derived from User Data. This data may be used to monitor, enhance, and improve the Services, support diagnostic efforts, and inform future development. Democruit may also share aggregated or anonymized insights that do not reveal any identifiable customer data. No intellectual property rights or licenses are granted to either party unless expressly outlined in this Agreement.
6. User Commitments and Service Limitations
User represents, warrants, and agrees that it will use the Services in accordance with Democruit’s published policies then in effect, as well as all applicable laws and regulations. While Democruit is not obligated to monitor User’s use of the Services, it reserves the right to do so and may suspend or restrict access if it determines that usage violates—or is alleged to violate—this Agreement or applicable law.
User shall not, whether directly or indirectly: reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, object code, or underlying structure, ideas, know-how, or algorithms relevant to the Services or any software, documentation, or data related to the Services; modify, translate, or create derivative works based on the Services or any software (except where expressly authorized by Democruit or permitted within the Services); use the Services for time sharing or for the benefit of any third party; or remove any proprietary notices or labels. For any software distributed or made available to User for use on its premises or devices, Democruit grants User a non-exclusive, non-transferable, non-sublicensable license to use such software solely in connection with the Services and only for the duration of the Term.
User further represents and warrants that: (a) its use of the Services will at all times comply with this Agreement and with all applicable laws and regulations; (b) its use of the Services, including any User Data provided, will not infringe upon the intellectual property or proprietary rights of any third party, including but not limited to trade secrets, trademarks, copyrights, or patents; and (c) notwithstanding anything in these Terms, it has obtained all necessary rights, consents, and authorizations from data subjects for the submission and processing of any Personal Data (as defined in Democruit’s Privacy Policy) transmitted through the Services. User agrees to defend, indemnify, and hold harmless Democruit, along with its directors, officers, employees, agents, parent company, subsidiaries, and affiliates, from and against any and all liabilities, losses, damages, costs, and expenses—including reasonable attorneys’ and third-party professional fees—arising from any breach of the representations or obligations set forth here.
6.1 AI-Generated Content
Some Services may use artificial intelligence to assist with generating resumes, cover letters, or suggestions. While we strive for accuracy, you acknowledge that AI-generated outputs may not be error-free, up-to-date, or tailored to every situation. You are solely responsible for reviewing and using the content. Democruit disclaims liability for decisions based on AI-generated results.
6.2 User Content
You retain ownership of any content, information, or materials you upload or submit to the Services ("User Content"). By submitting User Content, you grant Democruit a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, and display such content solely for the purpose of providing and improving the Services.
You are solely responsible for ensuring your User Content:
- Does not infringe the rights of any third party;
- Complies with applicable laws and regulations;
- Is not false, misleading, or deceptive.
Democruit does not pre-screen User Content but reserves the right to remove or disable access to any content that violates these Terms or applicable law.
7. Prohibited Conduct
By accessing or using the Services, you agree not to engage in any of the following prohibited activities. Democruit reserves the right to investigate and take appropriate legal action against anyone who, in Democruit’s sole discretion, violates this provision.
You agree not to:
- Violate Any Laws or Rights
- Use the Services in any way that violates any applicable law, regulation, or third-party right, including intellectual property, privacy, or contractual rights.
- Disrupt or Interfere with the Services
- Interfere with or disrupt the integrity or performance of the Services, networks, or servers.
- Attempt to probe, scan, or test the vulnerability of the Services or breach any security or authentication measures.
- Use the Services for Unlawful or Harmful Purposes
- Submit or share any content that is defamatory, obscene, abusive, hateful, discriminatory, harassing, or otherwise objectionable.
- Upload, transmit, or distribute viruses, malware, or other malicious code.
- Reverse Engineer or Abuse the Platform
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Services.
- Copy, modify, create derivative works of, or distribute any part of the Services except as expressly permitted by Democruit.
- Misuse AI or Data-Driven Tools
- Use any AI-generated content to deceive, impersonate, or misrepresent yourself or others.
- Attempt to train, fine-tune, or extract data from the AI features in a way that violates our intended use or the rights of others.
- Circumvent Access or Payment Controls
- Attempt to circumvent payment requirements, feature limits, usage caps, or credit-based access controls.
- Access or use the Services without proper authorization or through false credentials.
- Exploit or Overload the Platform
- Use automated systems, bots, or scripts to extract or scrape data at scale, overload the system, or submit excessive requests.
- Use the Services in a manner intended to circumvent normal usage limits or interfere with the experiences of others.
- Impersonate or Misrepresent
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any individual or organization.
- Use the Platform for Competitive Purposes
- Use the Services for benchmarking or to develop a competing product or service.
Violation of any of the above may result in immediate suspension or termination of your account, restriction of access to the Services, and/or legal action. Democruit reserves the right to report unlawful activity to relevant authorities where applicable.
8. Fees and Credit-Based Services
Democruit provides certain features free of charge and others as paid services, including but not limited to AI-powered tools. For paid features, Democruit uses a credit-based usage model ("Credits") that allows users to purchase and consume services on demand.
Purchasing Credits: Credits must be purchased manually through the Democruit platform. All credit purchases are one-time transactions and are not automatically renewed unless explicitly stated.
Usage of Credits: Credits are deducted based on the feature-specific credit value assigned to each paid service. This may vary by feature (e.g., resume generation, cover letter customization). The number of Credits required per feature will be clearly displayed prior to use.
Credit Expiration: All purchased Credits are valid for one (1) year from the date of purchase. Any unused Credits will automatically expire at the end of this period. Expired Credits are non-refundable and cannot be reinstated or extended.
No Refunds for Used or Expired Credits: Credits, once used or expired, are non-refundable unless required by applicable law or explicitly stated in writing by Democruit.
Pricing and Terms Updates: Democruit reserves the right to change its pricing, credit structure, or the scope of credit-based services at any time. We will provide reasonable advance notice of any material changes via the Website or user email.
9. Fee Changes
Democruit reserves the right, at its sole discretion, to modify pricing, credit consumption rates, or the scope of features tied to Credits at any time.
If material changes are made to credit pricing or how Credits are used (e.g., changes in the number of Credits required per feature), Democruit will provide reasonable advance notice via the Website or by email.
Continued use of the paid features after such changes go into effect constitutes your acceptance of the updated pricing and terms. If you do not agree to the revised fees, your sole remedy is to discontinue use of the affected services before the changes take effect.
Changes will not affect previously purchased Credits, which will remain valid under the terms active at the time of purchase until their expiration.
10. Refund Policy
Requests for fee refunds may be reviewed and, where applicable, approved solely at Democruit’s discretion. To inquire about a refund, please reach out via email us at info@democruit.com.
11. Suspension and Termination by Democruit
We reserve the right, at our sole discretion, to cancel or suspend Services, including for suspected misuse, breach of these Terms, or legal compliance. In such cases, we may restrict access to your account and related data. Where feasible, we will provide notice prior to termination. You may contact us to request data export if applicable under law or your plan.
12. Termination by User
You may terminate your use of the Services at any time by discontinuing your account or ceasing access to the platform. To formally request account termination, you may contact us at info@democruit.com with your request.
Please note the following:
1. Account Data
Upon termination, your access to your account and any associated data may be permanently deleted. We recommend downloading any important information before submitting a termination request.
2. Credits and Paid Features
Terminating your account does not entitle you to a refund of any remaining Credits or previously paid fees, unless required by law or explicitly stated in our Refund Policy.
3. Surviving Provisions
The following provisions will survive termination: Confidentiality and Ownership, Usage Data and Analytics, Warranty Disclaimer, Limitation of Liability, Dispute Resolution, and any other provisions which by their nature should survive.
4. Effect of Termination
Termination does not relieve you of any outstanding payment obligations or liabilities incurred prior to termination.
If you terminate your use of the Services and later wish to reactivate your account, you may contact Democruit to inquire about reactivation options, subject to our then-current terms and availability.
13. Warranty and Disclaimer
Democruit will make commercially reasonable efforts, consistent with industry standards, to maintain the Services with minimal errors and downtime. Any implementation or onboarding services provided will be performed in a professional manner. Services may be temporarily unavailable due to scheduled maintenance, emergency repairs, third-party service disruptions, or events beyond Democruit’s control. In such cases, Democruit will endeavor to provide prior notice via email or written communication when feasible.
That said, Democruit does not guarantee uninterrupted or error-free service, nor does it guarantee specific outcomes from the use of the Services. Unless expressly stated otherwise in this section, the Services are provided on an "as-is" basis. Democruit disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of Liability
To the maximum extent permitted by law and notwithstanding anything to the contrary, Democruit and its suppliers, affiliates, officers, agents, contractors, and employees shall not be liable under any contract, tort, strict liability, or other theory for:
- any interruptions, errors, data loss, data corruption, or costs associated with replacing technology, goods, or services;
- indirect, incidental, special, exemplary, or consequential damages;
- damages resulting from causes outside Democruit’s reasonable control;
- or any cumulative damages exceeding the total fees paid by the customer to Democruit for the Services during the three (3) months preceding the incident giving rise to liability.
These limitations apply regardless of whether Democruit has been advised of the possibility of such damages.
15. Trademarks and Publicity
Both parties grant each other a non-exclusive, non-transferable, non-sublicensable, worldwide license to use each other’s names, logos, and trademarks solely for marketing or promotional activities related to the collaboration under these Terms, including website listings, press releases, and social media announcements.
16. Changes to Terms
Democruit reserves the right to update or revise these Terms at any time. The most recent version will supersede all previous versions. Unless stated otherwise, updates become effective on the date listed at the top of the Terms. Democruit will make reasonable efforts to notify users of any material changes in advance, which may include notices through the user account portal or via email.
We recommend checking the effective date regularly to stay informed of any modifications. Continued use of the Services after the updated Terms go into effect signifies your acceptance of those changes. If you do not agree, you must discontinue use of the Services. For users with active subscriptions, changes to the Terms will apply upon the next renewal term.
From time to time, Democruit may modify or deprecate features of the Services, including APIs or SDKs. Where feasible, Democruit will provide at least 30 days’ notice for any backward-incompatible changes.
If access to public data sources, such as app store or online review content (“Public Reviews”), becomes restricted, the scope of Democruit’s services may be reduced accordingly, and Democruit will not be held liable for such changes in functionality.
17. Governing Law, Dispute Resolution & Miscellaneous
These Terms shall be governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to its conflict of law principles.
17.1 Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms, the Services, or any related transactions shall be finally settled by binding arbitration administered by the International Chamber of Commerce (ICC) in accordance with its Rules of Arbitration. The arbitration shall be conducted in English and held in Ankara, Türkiye, unless the parties agree otherwise in writing.
The arbitration shall be conducted by a single arbitrator. Each party shall bear its own legal costs and expenses related to the arbitration, except as otherwise required by applicable law or ICC rules. The arbitrator's decision and award shall be final and binding on both parties, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
17.2 Exceptions
Either party may:
- Seek injunctive or equitable relief (such as to stop unauthorized use or misuse of the Services, or to protect intellectual property rights) in any court of competent jurisdiction;
- Bring individual claims in a small claims court, if applicable and permitted by local law.
By agreeing to these Terms, both you and Democruit waive the right to a trial by jury and waive any right to participate in class actions, class arbitrations, or representative actions.
17.3 Miscellaneous
Democruit shall not be liable for failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, internet outages, governmental restrictions, labor disputes, or other force majeure events.
These Terms constitute the entire agreement between you and Democruit, superseding all prior oral and written agreements. Any amendment, waiver, or modification must be in writing and signed by both parties unless otherwise provided in these Terms.
No agency, partnership, joint venture, or employment relationship is created by these Terms. You may not assign your rights or obligations under these Terms without Democruit’s prior written consent. Democruit may freely assign or transfer its rights and obligations.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
All notices must be in writing and are deemed given (i) upon delivery if delivered personally, (ii) upon receipt if sent by certified or registered mail, (iii) upon transmission if sent by email with confirmation, or (iv) the next business day if sent by a reputable overnight courier.
Democruit Services may integrate with third-party tools or services. Except where required by GDPR, Democruit does not control or endorse third-party services and is not liable for their availability, content, or performance. Your use of such services is at your own risk.
By using any such integrations, you release Democruit and its affiliates from any claims or liabilities arising from those interactions. For California residents, this includes waiving California Civil Code §1542, and you similarly waive any equivalent rights under the laws of any other jurisdiction.
18. Data Protection and Privacy
Your use of the Services is subject to our Privacy Policy, which outlines how we collect, use, and protect your personal data in accordance with applicable laws, including the EU General Data Protection Regulation (GDPR). By using the Services, you consent to the collection and processing of your personal data as described therein.
If you are located in the European Union or other jurisdictions with similar regulations, you may have specific rights under data protection law, including access, correction, deletion, and objection. Please refer to our Privacy Policy or contact us at info@democruit.com for assistance.
