These Terms of Service (“Terms”) govern your access to and use of the Democruit website (the “Website”), along with all associated products, services, and software offered under the Democruit brand (collectively, the “Services”). In this agreement, “Democruit,” “we,” “us,” and “our” refer to Aequovia, LLC, a Delaware limited liability company, operating under the product name Democruit. References to “you,” “your,” “user,” or “Company” encompass all individuals and entities who access or use the Services, whether on behalf of an organization or in a personal capacity-including employees, representatives, and other authorized users of a company. In such cases, the company or organization is referred to as the “Company,” and all individuals using the Services on its behalf are collectively bound by these Terms.
If you are accessing the Services on behalf of a company or other legal entity, you affirm that you have the authority to accept these Terms on its behalf, or that an authorized representative has agreed to these Terms on behalf of that entity. These Terms also incorporate our Privacy Policy by reference, and together, both documents are designed to comply with applicable requirements of the EU General Data Protection Regulation (GDPR).
If you interact with us only as a Marketing Recipient (e.g., receiving promotional emails without creating an account or using the Services), only our Privacy Policy applies to you.
Please review these Terms carefully, as they include important details about your legal rights, responsibilities, limitations of liability, and dispute resolution procedures, including mandatory arbitration. If you do not fully agree to these Terms, you may not use or access our Services.
1. User Accounts and Eligibility
You must be at least 16 years old (or the minimum legal age in your jurisdiction) to use the Services.
To access certain features, you may be required to create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Democruit is not liable for losses resulting from unauthorized access unless such access was caused by our negligence.
2. Platform Nature and Scope
Democruit is an AI-powered career support and job application management platform.
Democruit is not:
- an employer
- a recruiter
- a job board
- a hiring authority or decision-maker
Democruit does not participate in hiring decisions and does not act on behalf of employers. Democruit does not verify job listings, employers, or user-provided data. While we may process and analyze User Content to provide features and insights, we do not independently validate its accuracy.
The Services are designed to:
- assist users in creating and improving job application materials
- provide insights and recommendations
- help manage job search activities
All outputs are informational and assistive only.
Democruit may modify, suspend, or discontinue any part of the Services at any time, including features or functionalities, without liability, subject to applicable law.
3. No Guarantee of Outcomes
Democruit does not guarantee job interviews, job offers, employment outcomes, or improved hiring success. Use of the Services does not ensure employment.
4. AI-Powered Features and Automated Systems
4.1 AI-Generated Content
Democruit uses artificial intelligence systems (“AI”) to suggest resume improvements, generate cover letter drafts and provide recommendations and insights.
AI-generated outputs:
- may be inaccurate, incomplete, outdated, or not tailored to every situation
- may not reflect real-world hiring practices
- are informational only and do not constitute professional career, legal, or other advice
You are solely responsible for reviewing, verifying, and using any AI-generated content. Democruit disclaims liability for any decisions, outcomes, or consequences arising from the use of AI-generated content. The behavior of AI features may change over time without notice.
AI features rely on third-party service providers. Democruit does not control and is not responsible for the availability, outputs, or performance of such third-party systems.
4.2 Algorithmic Scoring and ATS Resume Checker
Democruit includes an internal analysis and scoring system (“ATS Resume Checker”).
This system:
- is not a real Applicant Tracking System (ATS)
- is not affiliated with employers or recruiting systems
- uses internally defined logic, weights, and scoring models
- may change at any time without notice
Outputs (e.g., scores, rankings, skill gaps, recommendations) are approximations, are not predictive, and do not reflect actual employer decisions. You agree not to present these outputs as authoritative or employer-endorsed.
5. Behavioral Insights and Personalization
The Democruit platform collects behavioral data (such as days active, feature usage, interaction logs, and application counts) and uses it to generate personalized nudges, coaching suggestions, and insights via the Demi AI assistant. You acknowledge that:
- These recommendations are informational and behavioral in nature. They are not guarantees of outcomes or requirements.
- The platform may build a structured profile based on your usage and submitted data.
- Personalized recommendations may change over time as the platform evolves.
- You remain solely responsible for your decisions.
6. Free Trials and Promotional Access
Democruit may, at its sole discretion, offer free trials, temporary access, or promotional use of certain features or plans (“Promotional Access”) for limited periods or testing purposes.
Promotional Access:
- is provided free of charge
- has no monetary value
- is non-transferable
- may be subject to usage limits or feature restrictions
- may expire automatically at the end of the specified period
Democruit reserves the right to modify, revoke, or terminate Promotional Access at any time without prior notice.
7. Beta Period
During any beta period, the Services are provided on an "AS IS" basis, and Democruit makes no warranties of any kind, whether express or implied. This includes, without limitation, any warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Services will be uninterrupted, error-free, or secure. Beta features may be incomplete, contain bugs, or be subject to change without notice. By participating in a beta program, you acknowledge that the Services are experimental in nature and agree to use them at your own risk. To the maximum extent permitted by applicable law, Democruit shall not be liable for any harm or damages arising from your use of the Services during the beta period.
8. Confidentiality and Ownership
8.1 Confidential Information
Each party (a "Receiving Party") understands that the other party (a "Disclosing Party") may share confidential business, technical, or financial information in connection with this Agreement ("Confidential Information"). For Democruit, this includes internal, non-public data regarding the features, design, and performance of the Services. For the User, Confidential Information includes data submitted to Democruit that is necessary for the delivery of the Services ("User Content"). The Receiving Party agrees to:
- take commercially reasonable steps to safeguard the Confidential Information from unauthorized access or disclosure
- only use such information for purposes consistent with the provision or receipt of the Services under this Agreement.
This obligation does not extend to any information that:
- has become public through no breach by the Receiving Party,
- was lawfully in the Receiving Party’s possession before disclosure by the Disclosing Party,
- is rightfully obtained from another source without duty of confidentiality,
- is independently developed by the Receiving Party without use of the Disclosing Party’s Confidential Information, or
- must be disclosed under applicable law, regulation, or court order.
These confidentiality commitments remain in effect for as long as the information remains confidential.
8.2 User Content and Intellectual Property
You retain full ownership of any resumes, cover letters, job descriptions, personal information, documents, or other content you submit through the Services (“User Content”). Democruit does not claim ownership of your User Content. You grant Democruit a limited, non-exclusive, royalty-free license to use, host, reproduce, and process User Content solely as necessary to deliver, maintain, improve, and support the Services.
Democruit retains all rights, title, and interest in and to the Services, including but not limited to its software, platform, designs, features, AI models, improvements, and related technology or content, regardless of whether such items were developed independently by Democruit or in response to feedback, requests, or suggestions from you.
This section does not grant either party any rights, title, or interest in the intellectual property of the other, except as explicitly stated in these Terms.
8.3 Guest Access and Local Data Storage
Certain features of the Services may be available without registration. When using these features, your data may be stored locally on your device and may not be accessible across devices or sessions.
We do not guarantee the availability, persistence, or recovery of locally stored data. You are responsible for creating an account or exporting your data if you wish to retain it.
We may require account registration to access, save, or continue using certain features at any time.
When you use AI-powered features during guest access, your inputs may be transmitted to and processed by third-party AI service providers to generate outputs. For more details, please refer to our Privacy Policy.
For clarity, data stored locally during guest usage is not controlled or retained by Democruit unless it is transmitted to our servers (e.g., through AI-powered features). Users are solely responsible for managing, preserving, or deleting locally stored data on their own devices.
8.4 Usage Data and Analytics
Democruit reserves the ability to gather and evaluate data generated through use of the Services and its related infrastructure, including information derived from User Content. This data may be used to monitor, enhance, and improve the Services, support diagnostic efforts, and inform future development. Democruit may also share aggregated or anonymized insights that do not reveal any identifiable customer data. No intellectual property rights or licenses are granted to either party unless expressly outlined in this Agreement.
9. User Commitments, Content and Service Limitations
9.1 General Commitments
User represents, warrants, and agrees that it will use the Services in accordance with Democruit’s published policies then in effect, as well as all applicable laws and regulations. While Democruit is not obligated to monitor User’s use of the Services, it reserves the right to do so and may suspend or restrict access if it determines that usage violates - or is alleged to violate - this Agreement or applicable law.
User shall not, whether directly or indirectly: reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, object code, or underlying structure, ideas, know-how, or algorithms relevant to the Services or any software, documentation, or data related to the Services; modify, translate, or create derivative works based on the Services or any software (except where expressly authorized by Democruit or permitted within the Services); use the Services for time sharing or for the benefit of any third party; or remove any proprietary notices or labels. For any software distributed or made available to User for use on its premises or devices, Democruit grants User a non-exclusive, non-transferable, non-sublicensable license to use such software solely in connection with the Services and only for the duration of your access to the Services.
9.2 User Content
You retain ownership of any content, information, or materials you upload or submit to the Services ("User Content"). By submitting User Content, you grant Democruit the limited license described in Section 8.2. This license is used solely for the purpose of providing, maintaining, and improving the Services.
You are solely responsible for ensuring your User Content:
- Does not infringe the rights of any third party;
- Complies with applicable laws and regulations;
- Is not false, misleading, or deceptive.
Democruit does not pre-screen User Content but reserves the right to remove or disable access to any content that violates these Terms or applicable law.
9.3 Document Storage Feature (“Drive”)
Our Services may allow you to upload, store, and manage documents and other content (“User Content”) within your account, including through a document storage feature (“Drive”).
9.3.1 Ownership
You retain all ownership rights to your User Content. By uploading content to the Service, you grant us a limited, non-exclusive, worldwide license to store, process, and use such content solely for the purpose of providing and improving the Services.
9.3.2 Storage Limits
We may impose limits on the number of documents, file size, or total storage capacity available to you. These limits may vary depending on your subscription plan and may be modified from time to time.
9.3.3 Responsibility for Content
You are solely responsible for the User Content you upload, including ensuring that you have the legal right to store and use such content and that it does not violate applicable laws or third-party rights.
9.3.4 Prohibited Content
You agree not to upload content that is unlawful, infringing, harmful, or otherwise in violation of these Terms.
9.3.5 Availability and Loss of Data
While we take reasonable steps to protect your data, we do not guarantee that User Content will be stored without loss, corruption, or interruption. You are responsible for maintaining your own backups of important documents.
9.3.6 Deletion and Access
We reserve the right to remove or restrict access to User Content that violates these Terms or to enforce storage limits. Upon account deletion, your stored documents will be deleted in accordance with our Privacy Policy.
9.4 Third-Party and Recruiter Data
If you submit data about third parties (such as recruiter contact information) through the Services, you are solely responsible for having obtained all necessary rights, consents, and authorizations from those individuals for the submission and processing of their personal data. Democruit is not responsible for any obligations arising from your submission of third-party data.
9.5 User Representations and Warranties
User further represents and warrants that: (a) its use of the Services will at all times comply with this Agreement and with all applicable laws and regulations; (b) its use of the Services, including any User Content provided, will not infringe upon the intellectual property or proprietary rights of any third party, including but not limited to trade secrets, trademarks, copyrights, or patents; and (c) notwithstanding anything in these Terms, it has obtained all necessary rights, consents, and authorizations from data subjects for the submission and processing of any Personal Data (as defined in Democruit’s Privacy Policy) transmitted through the Services. User agrees to defend, indemnify, and hold harmless Democruit, along with its directors, officers, employees, agents, parent company, subsidiaries, and affiliates, from and against any and all liabilities, losses, damages, costs, and expenses - including reasonable attorneys’ and third-party professional fees - arising from any material breach or intentional violation of the representations or obligations set forth here.
10. Prohibited Conduct
By accessing or using the Services, you agree not to engage in any of the following prohibited activities. Democruit reserves the right to investigate and take appropriate legal action against anyone who, in Democruit’s sole discretion, violates this provision.
You agree not to:
- Violate Any Laws or Rights
- Use the Services in any way that violates any applicable law, regulation, or third-party right, including intellectual property, privacy, or contractual rights.
- Disrupt or Interfere with the Services
- Interfere with or disrupt the integrity or performance of the Services, networks, or servers.
- Attempt to probe, scan, or test the vulnerability of the Services or breach any security or authentication measures.
- Use the Services for Unlawful or Harmful Purposes
- Submit or share any content that is defamatory, obscene, abusive, hateful, discriminatory, harassing, or otherwise objectionable.
- Upload, transmit, or distribute viruses, malware, or other malicious code.
- Reverse Engineer or Abuse the Platform
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Services.
- Copy, modify, create derivative works of, or distribute any part of the Services except as expressly permitted by Democruit.
- Misuse AI or Data-Driven Tools
- Use any AI-generated content to deceive, impersonate, or misrepresent yourself or others.
- Attempt to train, fine-tune, or extract data from the AI features in a way that violates our intended use or the rights of others.
- Use AI-generated outputs in a way that violates applicable laws, including employment, discrimination, or fraud-related laws.
- Circumvent Access or Payment Controls
- Attempt to circumvent payment requirements, feature limits, or usage restrictions.
- Access or use the Services without proper authorization or through false credentials.
- Exploit or Overload the Platform
- Use automated systems, bots, or scripts to extract or scrape data at scale, overload the system, or submit excessive requests.
- Use the Services in a manner intended to circumvent normal usage limits or interfere with the experiences of others.
- Impersonate or Misrepresent
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any individual or organization.
- Use the Platform for Competitive Purposes
- Use the Services for benchmarking or to develop a competing product or service.
Violation of any of the above may result in immediate suspension or termination of your account, restriction of access to the Services, and/or legal action. Democruit reserves the right to report unlawful activity to relevant authorities where applicable.
11. Pricing and Access
11.1 Access Model
Democruit offers:
- free plans with limitations
- paid plans with expanded features
Plans provide time-based access (e.g., 7, 30, 90, or 12 months).
Access expires automatically at the end of the selected period. After expiration, users revert to the free plan.
11.2 Fair Use
Features described as “unlimited” are subject to reasonable and fair use.
We may limit usage that:
- negatively impacts system performance
- constitutes abuse
- exceeds reasonable usage patterns
11.3 Pause Feature
Certain plans (such as 12-month plans) may include the ability to pause access to the Services. Where available:
- remaining access time is preserved during the pause period
- paused access may be resumed within a maximum period of three (3) years from the original purchase date
- any unused time not resumed within this period may expire
Paused accounts may be treated as active solely for data retention and service continuity purposes. No additional charges will be applied during the pause period unless explicitly stated at the time of purchase.
Democruit reserves the right to define additional conditions, limitations, or eligibility requirements for the pause feature.
11.4 Candidate-First & Trust-Based Pricing
To support job seekers, Democruit offers an optional candidate-first pricing model. Under this model, you may choose to pay half of the plan price upfront, with the option (but not obligation) to pay the remaining half only if you secure employment within twelve (12) months of purchase.
This payment model is trust-based: no proof of employment is required. We will send periodic reminder emails regarding the optional second payment.
**Important notes:
- The initial half-payment is non-refundable and covers infrastructure and platform costs.
- The second payment is voluntary, but by using this model you agree that Democruit may contact you with reminders for up to 12 months.
- Candidate-first pricing does not include tree planting sponsorship unless the full plan amount has been paid.
- Choosing the candidate-first pricing option does not affect your rights under applicable consumer protection laws.
12. Fee Changes
Democruit reserves the right, at its sole discretion, to modify:
- pricing of plans
- plan durations
- included features and limits
- availability of specific plans or offerings at any time.
If material changes are made to pricing or the scope of paid features, Democruit will provide reasonable advance notice via the Website or by email.
Any changes will apply prospectively only and will not affect:
- active paid plans already purchased
- remaining access time within an active plan
Continued purchase or use of the Services after such changes take effect constitutes your acceptance of the updated pricing and terms. If you do not agree to the revised fees, your sole remedy is to refrain from purchasing or using the affected Services.
13. Refund Policy
You may request a refund within fourteen (14) days of purchase.
Refunds may be granted at Democruit’s reasonable discretion if:
- the request is made within the applicable period, and
- no significant use of the Services has occurred
“Significant use” includes, but is not limited to, repeated use of core features such as AI-powered content generation, resume analysis, or other high-value functionalities.
Once significant use has occurred, the purchase may be considered consumed and non-refundable.
Requests for refunds can be made by contacting us at info@democruit.com. Each request will be reviewed in line with these Terms and applicable consumer protection laws (such as mandatory cooling-off periods in the EU/UK).
Refunds may affect eligibility for certain benefits or promotional programs associated with your purchase. For example, if a refund is issued, you may no longer qualify for benefits such as the Tree Planting Program, as described in these Terms.
Democruit reserves the right to refuse refund requests in cases of suspected abuse, fraud, or violation of these Terms.
14. Tree Planting Program
Democruit may sponsor the planting of a tree in your name as part of certain plans or promotional programs.
A tree will be sponsored when the full plan price has been paid, including completion of any optional second payment under candidate-first pricing (if applicable).
Tree planting will occur:
- after the applicable refund period has ended, and
- only if no refund has been issued for the relevant purchase
If a refund is requested and granted before the tree is planted:
- no tree will be sponsored
Tree planting is a goodwill initiative and:
- has no monetary value
- is not transferable
- does not constitute a contractual obligation beyond what is stated in these Terms
Participation in the tree planting program may require sharing limited personal information with third-party partners for fulfillment purposes, as described in our Privacy Policy.
Democruit reserves the right to modify or discontinue this program at any time.
15. Suspension and Termination by Democruit
We reserve the right, at our sole discretion, to cancel or suspend Services, including for suspected misuse, breach of these Terms, or legal compliance. In such cases, we may restrict access to your account and related data. Where feasible, we will provide notice prior to termination. You may contact us to request data export if applicable under law or your plan.
16. Termination by User
You may terminate your use of the Services at any time by:
- using the account deletion feature available in your account settings, or
- ceasing access to the Services
If you are unable to access your account, you may request account deletion by contacting us at info@democruit.com.
16.1 Account Deletion and Data Removal
Deleting your account will result in the permanent deletion of your account and associated data, including but not limited to:
- resumes
- cover letters
- job tracking data
- templates and settings
This action is irreversible, and your data cannot be recovered once deleted. You are responsible for exporting or saving any information prior to deletion.
16.2 Paid Plans and Refunds
Termination or deletion of your account does not entitle you to a refund of any fees already paid, except as required by law or as explicitly stated in our Refund Policy.
If you delete your account during an active paid plan:
- any remaining access time may be forfeited
- associated benefits or programs (if any) may be canceled
16.3 Surviving Provisions
The following provisions will survive termination:
- Confidentiality
- Usage Data and Analytics
- Disclaimer of Warranties
- Limitation of Liability
- Dispute Resolution
- any other provisions which by their nature should survive
16.4 Effect of Termination
Termination does not relieve you of any obligations or liabilities incurred prior to termination.
16.5 Account Reactivation
Once an account is deleted, it cannot be restored. Any future use of the Services will require creating a new account, subject to the then-current Terms.
16.6 Inactive Accounts
We may delete inactive accounts and associated data in accordance with our Privacy Policy, including after extended periods of inactivity and prior notice to the user.
17. Warranty and Disclaimer
Democruit will use commercially reasonable efforts, consistent with industry standards, to maintain the Services with appropriate performance, reliability, and availability. Services may be temporarily unavailable due to scheduled maintenance, emergency repairs, third-party service disruptions, or events beyond Democruit’s reasonable control. Where feasible, Democruit will endeavor to provide advance notice of material service interruptions.
However, Democruit does not guarantee that the Services will be uninterrupted, error-free, secure, or free from delays.
The Services, including all content, outputs, AI-generated materials, and analytical results, are provided on an “as is” and “as available” basis.
Democruit makes no representations or warranties, express or implied, including but not limited to:
- merchantability
- fitness for a particular purpose
- non-infringement
- accuracy, reliability, or completeness of outputs
Without limiting the foregoing:
- AI-generated content may be inaccurate, incomplete, or outdated
- analytical outputs (including scores and recommendations) are approximations and not guarantees
- the Services do not constitute professional, legal, or career advice
You acknowledge that you use the Services and rely on any outputs at your own risk.
18. Limitation of Liability
To the maximum extent permitted by law, and notwithstanding anything to the contrary, Democruit and its suppliers, affiliates, officers, agents, contractors, and employees shall not be liable under any contract, tort, strict liability, or other legal theory for:
- any interruptions, errors, delays, data loss, or data corruption, or costs associated with replacing technology, goods, or services;
- any indirect, incidental, special, exemplary, or consequential damages;
- any damages resulting from causes outside Democruit’s reasonable control;
- any loss of employment opportunities, loss of income, loss of business, or other personal or professional outcomes arising from use of the Services;
- any decisions made or actions taken based on AI-generated content, recommendations, scores, or other outputs of the Services;
or for any cumulative damages exceeding the total fees paid by you to Democruit for the Services during the three (3) months preceding the event giving rise to liability.
These limitations apply regardless of whether Democruit has been advised of the possibility of such damages and regardless of the form of action.
19. Trademarks and Publicity
Democruit grants you a limited, non-exclusive, non-transferable, non-sublicensable, worldwide license to use Democruit’s name and logo solely for personal, non-commercial reference to your use of the Services (e.g., “Created with Democruit”). You may not:
- use Democruit’s or Aequovia’s names, logos, or trademarks for any commercial purpose;
- imply any endorsement, partnership, or affiliation with Democruit;
- use Democruit branding in a misleading or deceptive manner without our prior written consent.
Democruit may, with your prior consent, use your name, logo, or testimonials for marketing or promotional purposes, including case studies and success stories.
20. Changes to Terms
Democruit reserves the right to update or revise these Terms at any time. The most recent version will supersede all previous versions.
Unless stated otherwise, updates become effective on the date indicated at the top of the Terms.
If we make material changes, we will make reasonable efforts to notify you in advance, which may include notifications via the Website, your account, or email.
Where required by applicable law, we may request your explicit acceptance of updated Terms before you continue using the Services.
Your continued use of the Services after the updated Terms become effective constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must discontinue use of the Services.
20.1 Changes to the Services
Democruit may modify, update, or discontinue any part of the Services at any time, including features, functionalities, or availability. Where feasible, we will provide advance notice of material changes that may significantly affect your use of the Services.
21. Governing Law, Dispute Resolution & Miscellaneous
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles, except where mandatory laws of your local jurisdiction apply.
21.1 Dispute Resolution
To the extent permitted by applicable law, any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its applicable rules. The arbitration shall:
- be conducted in English
- be handled by a single arbitrator
- take place remotely or in a mutually agreed location
The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Nothing in this section limits your rights under applicable consumer protection laws, including the right to bring claims before local courts where required by law.
21.2 Exceptions
Either party may:
- seek injunctive or equitable relief in any court of competent jurisdiction (e.g., to protect intellectual property or prevent misuse of the Services);
- bring eligible claims in a small claims court where permitted
To the extent permitted by law, both you and Democruit waive the right to participate in class actions, class arbitrations, or representative actions.
21.3 Miscellaneous
Democruit shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, internet outages, governmental actions, labor disputes, or other force majeure events.
These Terms constitute the entire agreement between you and Democruit and supersede all prior agreements or understandings.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
You may not assign or transfer your rights or obligations under these Terms without prior written consent from Democruit. Democruit may assign its rights and obligations without restriction.
No agency, partnership, joint venture, or employment relationship is created by these Terms.
Democruit may provide notices via the Services, email, or other reasonable means.
The Services may include integrations with third-party services. Your use of such services is subject to their respective terms, and Democruit is not responsible for their availability, content, or performance.
22. Data Protection and Privacy
Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR), where applicable.
Where required, Democruit implements appropriate safeguards for international data transfers, such as Standard Contractual Clauses.
